Project agreement
A project begins when the client accepts a written quote or scope, supplies the required inputs and pays any stated deposit. The agreement consists of the accepted quote, written scope, these terms and any signed confidentiality or data-processing terms.
Scope and technical authority
Garment Preflight provides only the outputs named in the accepted scope. The client remains responsible for design approval, production pattern authority, grading, garment specifications, compliance, supplier instructions, physical fit approval and manufacturing decisions unless a separately qualified professional is explicitly engaged for that work.
Client inputs
The client must provide files, references, measurements, artwork, permissions and decisions that are accurate, current and authorised for use. Garment Preflight may pause work or revise the quote when files are incomplete, materially different from those assessed or cannot support the requested output.
Digital and physical limitations
CLO3D outputs are development and communication tools. Fabric, trim, construction, fit and appearance are approximations based on the information available. Digital work does not replace a physical sample, qualified fit review, testing or production approval. No manufacturing outcome is guaranteed.
Fees, deposit and payment
Fees are stated in the quote. A deposit may be required before scheduling. Remaining fees are due on the stated invoice date. Work outside the scope, additional review rounds, changed inputs, file repair and rush scheduling may be charged separately after written approval.
Review and revisions
Unless the quote states otherwise, one consolidated review round is included. Feedback must be provided by the named review contact and measured against the accepted brief. New design directions, changed patterns, new artwork, fragmented feedback or additional rounds are treated as a scope change.
Timing and client delay
Delivery dates depend on receipt of the required files, deposit and consolidated decisions. A delay in client inputs or review may move the delivery date. Rush work is accepted only when confirmed in writing.
Confidentiality and portfolio use
Confidential project material will be used only for assessment and delivery. White-label work will be delivered without Garment Preflight branding when agreed. Garment Preflight will not contact the client's client or publish the project without written permission.
Intellectual property
Each party retains ownership of material it owned before the project. After full payment, the client receives the agreed rights to the project-specific deliverables stated in the quote. Third-party assets, fonts, software content and licences remain subject to their own terms. Garment Preflight retains its general methods, templates and non-client-specific know-how.
Editable CLO source files
The editable CLO source file is excluded by default. A source-file transfer must be separately identified and priced in the accepted quote, and remains subject to full payment and any third-party asset or licence restrictions.
Cancellation
Either party may end a project in writing. The client must pay for completed work, committed costs and approved work in progress up to the cancellation date. Deposits are applied to those amounts and are not automatically refundable.
Liability
To the extent permitted by law, Garment Preflight is not responsible for indirect loss, lost profit, production loss or supplier decisions arising from the use of digital outputs. Any liability should be limited to the fees paid for the affected project, except where applicable law does not permit that limitation.
Business clients and governing law
The service is intended primarily for business use. Where the parties are in trade and the law permits, any statutory contracting-out must be recorded in writing and be fair and reasonable. New Zealand law applies and the New Zealand courts have jurisdiction, unless the accepted project agreement states otherwise.
